Terms of use of the service

In short

In short: you must create an account with accurate information and keep your credentials confidential. The service is licensed "as is": you may not decompile it or use it for fraudulent purposes. An optional consent lets you share your business contacts with partners, withdrawable at any time. The publisher may suspend an account in case of a breach of these terms. They are governed by the laws of the Democratic Republic of the Congo. The detail follows, section by section.

1. Legal Notice & Service Ownership

MerchantHQ is a Software as a Service (SaaS) commercial management platform owned, operated, and legally represented by Mrs. Paulette Sankinka, acting as the legal representative on behalf of the project created and developed by Enzo Izinga. • Application & Website Hosting: Vercel Inc. • Database Infrastructure: Turso (ChiselStrike, Inc.)

2. Description of Services

MerchantHQ offers point-of-sale (POS) and business management tools accessible via Android Application Package (APK) and Web Interface. The Service allows merchants and businesses to manage sales, inventory, multiple store locations, and commercial transactions.

3. User Account & Registration

To access MerchantHQ, users must create an account by providing accurate, current, and complete information (including Manager Name, Business Name, Sector, City, WhatsApp Phone Number, and Email). Users are solely responsible for maintaining the confidentiality of their account credentials.

4. Subscription Plans & Payment Terms

MerchantHQ operates on a subscription-based model offering various tiers (including Starter, Business, Big, and Enterprise plans): • Billing & Access: Access to paid features requires prompt payment of recurring subscription fees. • Fee Adjustments: MerchantHQ reserves the right to modify subscription fees or suspend accounts in the event of non-payment or failed billing transactions.

5. Intellectual Property Rights

All software, source code, designs, trademarks, logos, and features associated with MerchantHQ remain the exclusive intellectual property of the service creators. Users are granted a limited, non-exclusive, non-transferable license to use the application solely for their internal business operations.

6. Acceptable Use Policy

Users agree not to: • Reverse engineer, decompile, or attempt to extract the source code of the APK or web service. • Use the platform for fraudulent, illegal, or unauthorized commercial activities. • Interfere with or compromise the security or integrity of the database and servers.

7. Commercial Partnerships & Business Data Opt-In

In accordance with our Privacy Policy, users may voluntarily opt in from the application settings to allow MerchantHQ to share their professional contact information (Manager Name, Phone Number, Business Sector, City) with qualified third-party partners (such as wholesalers, distributors, or financial service providers). This consent is separate from the optional information-email subscription offered at registration. Users retain the right to opt out at any time.

8. Limitation of Liability & Service Availability

While MerchantHQ strives to maintain maximum platform uptime, the service is provided on an "as-is" and "as-available" basis. MerchantHQ shall not be liable for service disruptions caused by internet connectivity issues, local infrastructure limitations, or third-party cloud provider outages (Vercel, Turso).

9. Termination

MerchantHQ reserves the right to terminate or suspend user access immediately without prior notice in the event of a violation of these Terms of Use or fraudulent activity.

10. Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo (including the Digital Code - Code du Numérique), as well as applicable international digital trade regulations.
